OMEGA™ Terms of Service

These Terms of Service (“Terms”) govern access to and use of the OMEGA Marketing Platform (“OMEGA,” “Platform,” “we,” “us,” or “our”), provided by Sky 1 Technologies (“Provider”).

By purchasing, accessing, or using OMEGA, Client (“you,” “your”) agrees to these Terms. Payment of any invoice constitutes acceptance of these Terms.

1. Scope of Services

OMEGA provides an access-based marketing platform that may include, depending on plan level:

  • CRM and contact management
  • Email campaigns
  • Automations and workflows
  • Forms and lead capture
  • Chat and messaging tools
  • Social planning tools
  • Reporting and analytics

Features may vary by tier and may change over time.

2. License & Access

You are granted a non-exclusive, non-transferable, revocable license to access and use OMEGA during the period in which your account remains active and paid.

  • No ownership of software, data structures, or platform components is transferred.
  • Access is tied to your account and may not be shared, resold, or sublicensed.

3. Onboarding & Setup Fees

Certain plans may include a one-time onboarding or setup fee.

  • Onboarding covers account setup, configuration, and access provisioning.
  • Onboarding fees are non-refundable, regardless of later cancellation.
  • Onboarding does not include strategy, copywriting, custom development, or data migration unless expressly agreed in writing.

4. Billing & Payments

  • Subscription fees are billed monthly in advance, unless otherwise stated.
  • All fees are due according to the invoice terms.
  • Failure to pay may result in suspension or termination of access.
  • Fees are exclusive of taxes, which you are responsible for where applicable.

Unless otherwise stated, all payments are non-refundable.

5. Term & Cancellation

You may cancel your subscription at any time, effective at the end of the current billing period.

We reserve the right to suspend or terminate access immediately for:

  • Non-payment
  • Abuse or misuse of the platform
  • Violation of these Terms
  • Actions that risk platform stability or compliance

Upon termination, access to the Platform will be revoked.

6. Platform Changes & Availability

OMEGA is an evolving platform.

  • Features, functionality, limits, and availability may change.
  • We do not guarantee uninterrupted or error-free service.
  • We may modify, replace, or discontinue features at any time.

Continued use of OMEGA after changes constitutes acceptance of those changes.

7. Third-Party Services

OMEGA may integrate with or rely on third-party services, including but not limited to:

  • Email providers
  • SMS providers
  • AI or automation services
  • Payment processors

Usage of third-party services may incur additional fees and is subject to those providers’ terms and limitations. We are not responsible for third-party outages, deliverability, or policy changes.

8. Data & Client Content

You retain ownership of your content and data submitted to the Platform.

You grant us permission to process and store your data solely for the purpose of providing OMEGA services.

You are responsible for:

  • The accuracy of your data
  • Compliance with applicable laws (CAN-SPAM, TCPA, GDPR, etc.)
  • Proper consent for messaging and communications

9. Acceptable Use

You agree not to use OMEGA to:

  • Send spam or unsolicited communications
  • Violate laws or regulations
  • Infringe intellectual property rights
  • Engage in abusive, deceptive, or harmful practices

We reserve the right to suspend or terminate accounts that violate acceptable use standards.

10. Limitation of Liability

To the maximum extent permitted by law:

  • OMEGA is provided “as is” and “as available”
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount paid by you in the prior 3 months

11. Indemnification

You agree to indemnify and hold harmless Sky 1 Technologies from claims arising from:

  • Your use of the Platform
  • Your content or communications
  • Violations of law or third-party rights

12. Changes to These Terms

We may update these Terms from time to time.

  • Updated Terms will be posted at the published URL
  • Continued use of OMEGA constitutes acceptance of the updated Terms

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
